1. Agreement to Terms

By accessing or using OutrankYou ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and OutrankYou.

2. Description of Service

OutrankYou is an AI-powered competitor content analysis tool. Given a competitor's URL, our service crawls publicly available web content, analyzes topics and content strategy, identifies content gaps, and generates prioritized action plans to help you improve your content marketing. The Service is provided via outrankyou.com.

3. Account Registration

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription & Payment

OutrankYou offers paid subscription plans billed on a monthly basis. Payments are processed securely via Stripe. We accept all major credit and debit cards.

• Subscription fees are billed at the start of each billing period.
• All fees are non-refundable except as required by law.
• We reserve the right to change pricing with 30 days' notice to active subscribers.

5. Free Trial

New users may be eligible for a 7-day free trial. No credit card is required to start your free trial. If you do not cancel before the end of the trial period, you will be automatically charged the applicable subscription fee on day 8. You may cancel at any time during the trial to avoid being charged.

6. Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period — you will retain access to the Service until that date. We do not provide pro-rated refunds for unused portions of a billing period.

7. Intellectual Property

Your data is yours. Any content, URLs, or competitive intelligence data you submit to the Service remains your property. OutrankYou owns the platform, software, algorithms, branding, and all intellectual property associated with the Service. You may not copy, modify, distribute, or create derivative works of the OutrankYou platform without express written permission.

8. Prohibited Uses

You agree not to:

• Scrape, crawl, or extract data from the OutrankYou platform programmatically without explicit API authorization ("no scraping the scraper").
• Submit URLs containing or promoting illegal, harmful, or abusive content.
• Attempt to circumvent rate limits, subscription tiers, or access controls.
• Use the Service to violate any applicable law or regulation.
• Resell or sublicense the Service without express written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTRANK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO OUTRANK IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
